ANN ARBOR, Michigan, March 2, 2006 — Earlier today, Dassault Systèmes (DS) announced their intent to acquire MatrixOne for a total of $408 million. They expect to finalize the acquisition in the second quarter of this year. CIMdata is positive on this acquisition and believe that it has the potential to be an excellent move for DS, MatrixOne, and the industry. MatrixOne is one of the leaders in providing lifecycle management focused PLM solutions. Their revenues in their FY05 (ended in May 2005) were $124 million, and CIMdata recognizes them as one of the six key “PLM Mindshare Leaders.” MatrixOne has a relatively broad suite of applications focused on many major processes within the overall product lifecycle, from requirements management through compliance. IBM - PTC Announcement (Commentary)

ANN ARBOR, Michigan, January 25, 2006—IBM and PTC today announced a non-exclusive relationship in which the two companies have established a cooperative market agreement to address specific markets. IBM and PTC will jointly market and sell solutions based on PTC’s suite of products, with a focus on their Windchill offerings. According to the announcement, this partnership will primarily address the emerging PLM market in China, but will also include programs in the US and Europe focused on targeted accounts within selected industries, including electronics, consumer packaged goods (CPG), and life sciences. According to IBM, this relationship will be supported by a dedicated group within IBM that will be solely focused on driving the PTC partnership. IBM and PTC stressed that this new program is targeted at “enterprise” PLM opportunities, and is intended to provide PLM solutions integrated with ERP, CRM, SCM, and other enterprise-level initiatives based upon IBM’s middle-ware and infrastructure

ANN ARBOR , Michigan , July 7, 2005—PTC has announced its intention to purchase all of the assets of Arbortext, a market leader in dynamic enterprise publishing. We believe that this acquisition is strategically important and will create a number of advantages and opportunities for the combined entity. The primary consideration is that the synergistic combination of the companies’ products will create benefits for customers by providing dynamic enterprise publishing integrated within a Product Lifecycle Management (PLM) environment. Several challenges to fulfilling the promise of this activity remain. A detailed integration strategy and schedule have to be implemented. The organizational structure will need to be finalized. Branding has to be worked out. And, a solution to the technical challenge of how to bring 3D content into an open, XML-based environment needs to be developed. ANN ARBOR, Michigan, June 6, 2005 — PTC announced today their acquisition of Polyplan Technologies Inc., a private company based in Montreal, Canada. Terms of the acquisition were not announced. PTC stated that this action was a key to its strategy to enable simultaneous product and process development through enhanced manufacturing process solutions. This move is not surprising and CIMdata is pleased to see PTC take this action. The Digital Manufacturing market, a sub-sector within the overall PLM market, is rapidly gaining visibility and is one of the fastest growing opportunities for PLM suppliers. CIMdata estimates that expenditures for Digital Manufacturing software and services exceeded $400 Million in 2004, and forecasts that expenditures will exceed $1.2 Billion in 2009. Dassault Systèmes (DS) today announced an agreement to acquire 100% ownership of ABAQUS Inc., a leader in nonlinear finite element analysis software, in an all-cash transaction approximating $413 million, subject to the satisfaction of certain customary conditions and approval by the regulatory and merger control authorities, especially in the USA and in Germany. The transaction has received the unanimous support of ABAQUS's owners and management team and is expected to be completed by the end of the third quarter of 2005. DS expects the planned acquisition to be immediately accretive to net income, excluding acquisition costs and the impact of deferred revenue accounting treatment. Agile announced today, 3 February 2005, the acquisition of Cimmetry Systems. CIMdata believes that this acquisition will have a positive impact on both Agile and Cimmetry as well as on the overall visualization tool market. By this acquisition, Agile has clearly demonstrated their view of the importance of visual collaboration as a key component of a full PLM solution. UGS Aquires Tecnomatix (Commentary)

UGS’ announcement of a definitive agreement to acquire Tecnomatix comes as no surprise. These two companies announced a strategic working relationship in the third quarter of 2002 and have been diligently working to further integrate both their technologies and customer sales and support activities. Most recently, UGS’ announcement of their Open Manufacturing Backbone (OMB) and its tight integration with the Tecnomatix suite of offerings reinforced these activities publicly. In a teleconference call today to discuss the acquisition, many of the comments from UGS and Tecnomatix personnel focused on the acceleration this acquisition will have upon further integration of the Tecnomatix technologies within the overall UGS product suite. UGS should gain from this acquisition by having direct control over development and support of technology that is critical to their future product suite. Boeing, IBM, and Dassault Systèmes (DS) have announced that Boeing has selected DS' full V5 PLM product suite to be used as the development platform for the 7E7 dreamliner program. This will include use of CATIA, ENOVIA, SMARTEAM, and DELMIA products and services. Boeing stated that they intend to use the DS products across their extended supply chain and will request that suppliers also utilize DS V5 products in order to standardize use of specifications, engineering rules, operational parameters, and simulation results.
